Welcome to Content Colin. By using our website and services, you agree to comply with and be bound by the following terms and conditions.
1. Acceptance of Terms
By accessing our website, you accept these terms and conditions in full. If you disagree with any part of these terms, please do not use our website or services.
2. Services
Content Colin provides content creation services. The scope, duration, and cost of these services will be agreed upon in writing between Content Colin and the client.
3. Payment Terms
- Payment must be made in full before the commencement of services.
- Payment can be made via the provided Stripe link or any other agreed payment method.
- All prices are exclusive of VAT unless otherwise stated.
4. Client Responsibilities
- Provide clear and timely feedback to ensure the quality and relevance of the content.
- Supply any necessary materials or information required for the completion of the services.
5. Intellectual Property
- All content created by Content Colin remains the property of Content Colin until full payment is received.
- Upon full payment, the client is granted a non-exclusive, royalty-free license to use the content for the agreed purposes.
6. Revisions and Amendments
- The client is entitled to one round of revisions within 14 days of delivery of the content.
- Additional revisions or changes requested after this period may incur additional charges.
7. Confidentiality
- Both parties agree to keep all information shared during the course of the project confidential.
- Content Colin will not disclose any client information to third parties without prior consent, except as required by law.
8. Limitation of Liability
- Content Colin is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
- Our total liability for any claims related to our services is limited to the amount paid by the client for those services.
9. Termination
- Either party may terminate the agreement with 30 days’ written notice.
- In the event of termination, the client will pay for all services rendered up to the termination date.
10. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to Terms
We reserve the right to modify these terms and conditions at any time. We will notify clients of any significant changes by posting the new terms on our website.
12. Partner Programme
Content Colin operates a partner referral programme administered through a third-party platform (Tolt). By enrolling as a partner, you agree to the following terms in addition to those above.
Definitions
- “Referred Customer” means a new customer who signs up to a paid Content Colin plan via your unique tracked referral link and whose referral is recorded by Tolt.
- “Net Revenue” means the subscription fees actually received by Content Colin from a Referred Customer, exclusive of VAT or any other applicable tax, and after deduction of any refunds, chargebacks, or credits.
Commission
- Partners earn a commission of 25% of Net Revenue for the lifetime of each Referred Customer’s active subscription, for as long as the customer remains a paying customer and the programme remains in operation.
- Commission is calculated and tracked exclusively via Tolt. In the event of any discrepancy, Content Colin’s records (as reconciled with Stripe) prevail.
Attribution
- Referrals are attributed using Tolt’s tracking via your referral link and associated cookies. Only customers correctly tracked at the point of sign-up qualify.
- The programme applies to new customers only. Existing customers, reactivations, and self-referrals do not qualify.
Refunds and Clawback
- Where a Referred Customer is refunded, issues a chargeback, or receives a credit, the corresponding commission is deducted from your balance.
- If a deduction exceeds your current unpaid balance, the negative amount may be carried forward and offset against future commission.
Payments
- Commission is paid via Tolt using the payout method and schedule configured in your Tolt account, subject to any minimum payout threshold and holding period applied to allow for refunds.
- You are responsible for providing accurate payout details. Content Colin is not liable for payments delayed or lost due to incorrect details.
Tax
- All commission amounts are stated exclusive of tax. You are solely responsible for declaring and accounting for any tax due on commission you receive.
- Nothing in this programme creates an employment, agency, partnership, or joint venture relationship. You act as an independent party.
Partner Conduct
- You must promote Content Colin lawfully and honestly, and must not make false or misleading claims about the service.
- You must not use spam, unsolicited bulk messaging, misleading advertising, trademark misuse, or any deceptive or fraudulent method to generate referrals.
- You must comply with all applicable advertising and consumer law, including disclosing the referral relationship where required.
- Content Colin may withhold or reverse commission, and suspend or terminate your participation, where fraudulent, abusive, or non-compliant activity is suspected.
Term, Termination and Changes
- Either party may terminate participation in the programme at any time on written notice.
- Content Colin may modify the commission rate, programme structure, or these terms at any time, with changes taking effect on notice or on posting to the website.
